1. The services
Probay provides professional assistance with incorporation of companies and LLPs, registration of partnership firms, annual and event-based filings with the Registrar of Companies, ISIN and dematerialisation, strike-off and related corporate services ("Services"). The scope of each engagement is the scope described in the written quote you accept.
2. Quotes, fees and payment
- Every quote itemises our professional fee separately from government fees, stamp duty, Digital Signature Certificate charges and other third-party costs, which are payable at actuals.
- Professional fees are exclusive of GST, which is charged at the applicable rate.
- Government fees and third-party costs may change between quote and filing if the relevant authority revises them; we will inform you before paying any increased amount.
- Work begins on receipt of the advance stated in the quote. Balances are due as stated in the invoice.
3. Your responsibilities
- To provide complete, accurate and genuine documents and information, and to inform us promptly of any change.
- To review and approve drafts (such as the MoA, AoA, LLP Agreement, resolutions and forms) before filing. Filings are made on the basis of your approval.
- To sign forms with your Digital Signature or authorise us to do so where permitted, and to keep your DSC secure.
- To respond to our requests within a reasonable time so that statutory deadlines can be met.
4. Timelines
Timelines on this website and in quotes are indicative. Approvals are granted by the Ministry of Corporate Affairs, the Registrar of Companies, depositories, banks and other authorities whose processing times we do not control. We are not liable for delays caused by such authorities, by incomplete or incorrect information, or by delays in your approvals.
5. Outcomes
We cannot guarantee that a proposed name will be approved, that an application will be accepted without resubmission, or that an authority will exercise a discretion in your favour. Where an application is rejected because of an error on our part, we will re-file at no additional professional fee.
6. Not legal or investment advice
Information on this website is general in nature and does not constitute legal, tax or investment advice for your specific situation. Advice given in an engagement is limited to the scope of that engagement. Statutory audit must be carried out by an independent auditor; we do not act as statutory auditor of entities whose accounts or filings we prepare.
7. Confidentiality
We keep your documents and information confidential and use them only for the engagement, as described in our Privacy Policy.
8. Limitation of liability
To the extent permitted by law, our aggregate liability for any claim arising from an engagement is limited to the professional fee paid for that engagement. We are not liable for indirect or consequential loss, or for penalties or fees resulting from information or approvals provided late or inaccurately by you.
9. Termination
Either party may end an engagement by written notice. Fees for work completed to that date remain payable; government fees already paid are not refundable. See our Refund Policy.
10. Website use
Content on this website is owned by Probay and may not be copied for commercial use. We do our best to keep it accurate and current, but laws and fees change; verify anything you rely on with us before acting.
11. Governing law
These terms are governed by the laws of India. Courts at New Delhi have exclusive jurisdiction.
