What is different about registering a company in Noida?
The Companies Act is the same across India, but three practical things change when your registered office is in Noida or Greater Noida rather than Delhi.
1. Your ROC is Kanpur, not Delhi
Noida falls in Gautam Buddha Nagar district of Uttar Pradesh, so your company comes under the Registrar of Companies, Kanpur. New incorporations are processed centrally by the MCA's Central Registration Centre, but all later matters — annual filings, event-based forms, notices and strike-off — are handled by ROC Kanpur.
2. Uttar Pradesh stamp duty applies
Stamp duty on the incorporation form, MoA and AoA is charged at Uttar Pradesh rates and paid online through the MCA portal. For companies with small authorised capital, UP stamp duty is generally lower than Delhi's, where duty on the AoA rises with authorised capital. 3. Your address must say Uttar Pradesh
It sounds obvious, but a surprising number of applications are sent back because the address proof, NOC and form show mismatched details — "Noida, Delhi NCR", missing sector numbers, or an old district reference. We verify that the utility bill, NOC and SPICe+ form carry the identical address, with the correct district and PIN code.
Thinking of shifting later? Moving your registered office from Noida to Delhi (or the reverse) is a change of state, which requires Regional Director approval through Form INC-23. It is far easier to choose the right state at incorporation — ask us if you are unsure.
