What is different about registering a company in Delhi?
1. ROC Delhi has jurisdiction
Companies with a registered office in the National Capital Territory of Delhi fall under the Registrar of Companies, Delhi, which also covers Haryana. Incorporation is processed by the Central Registration Centre; annual filings, event-based forms and strike-off applications are dealt with by ROC Delhi.
2. Delhi stamp duty is linked to authorised capital
Stamp duty on the MoA, AoA and SPICe+ form is charged at Delhi rates and paid online through the MCA portal. In Delhi, duty on the Articles of Association is linked to authorised capital, so choosing an unnecessarily high authorised capital increases the cost of incorporation. Most founders start with ₹1 lakh to ₹10 lakh authorised capital and increase it later when funding is actually raised. 3. Address proof in Delhi's property landscape
Delhi has DDA flats, cooperative group housing societies, freehold and leasehold plots, MCD-assessed shops and a great many rented premises. The MCA needs a recent utility bill in the name of the owner, an NOC from that owner, and a rent agreement where applicable. Using a home address as the registered office is permitted; if you plan to run manufacturing or a shop from the premises, local zoning rules apply separately.
4. Delhi versus UP: choose deliberately
Because Noida and Ghaziabad fall under a different state and ROC, shifting your registered office across the border later needs Regional Director approval and takes months. Which ROC does a Delhi company come under?

Is Delhi stamp duty higher than Noida or Ghaziabad?
For small authorised capital the difference is modest; for larger capital Delhi's duty on the Articles of Association, which is linked to the capital amount, can be noticeably higher than the fixed Uttar Pradesh rate. We show both figures if you are undecided between the two states.
Can I register my company at a DDA flat or a rented home in Delhi?
Yes. A residential address can be the registered office. You need a recent utility bill in the owner's name, the owner's NOC and, for rented premises, the rent agreement.
Can I register in Delhi and operate from Gurugram or Noida?
Legally the company must keep its registered office at the address filed with the ROC and receive communication there. You can have branch or operating offices elsewhere. But if your entire team sits in Noida, registering there may save you a state-shift application later — we help you weigh it.
Do I need to visit the ROC office at IFCI Tower?
No. Incorporation and all subsequent filings are done online through the MCA portal. Physical visits are only needed in rare cases such as hearings, which we attend on your behalf.
