What does not change
The Companies Act, the SPICe+ process, the Central Registration Centre that approves incorporations, the timelines, the annual compliance calendar, income tax and the professional fee are all identical whether your registered office is in Connaught Place, Sector 62 or Indirapuram. The MCA does not care which side of the border you are on. Four things do change: the ROC, stamp duty, GST and local registrations, and the cost of premises.

Register in Delhi if…
- Your customers are central government departments, PSUs, embassies or corporates that value a New Delhi address.
- Your team and premises are actually in Delhi — the registered office must receive communication, and a state shift later is expensive.
- Authorised capital is modest, so the capital-linked AoA duty does not matter much.
- You will register for Delhi GST anyway because you sell from Delhi.
Register in Noida or Ghaziabad if…
- Your office, factory or home is there — the same rule applies in reverse.
- You are a manufacturer or exporter who can use Uttar Pradesh MSME and industrial incentives.
- You plan a large authorised capital, where the fixed UP slab is cheaper than Delhi's percentage.
- Office cost matters — Noida's IT parks and Ghaziabad's industrial areas are markedly cheaper than Delhi.
Why shifting later is the expensive mistake
Moving the registered office from Delhi to Noida (or the reverse) is a change of state under Section 13. It needs a special resolution, newspaper advertisements, notice to creditors and the ROC, an application to the Regional Director in INC-23, a possible hearing, and then INC-28 and INC-22 — two to four months and professional fees starting around ₹25,000. Your GST registration, bank records, PAN jurisdiction and stationery all change too.
Compare that with the incorporation-stage difference of a few hundred rupees in stamp duty, and the rule is obvious: register where the business will actually be run for the next few years, and optimise authorised capital rather than the state.
Team split across the border? Pick the state where the founders sit and where post will reliably be received. Branch offices, GST registrations and warehouses can be added in the other state without touching the ROC.
Frequently asked questions
Is company registration cheaper in Noida than in Delhi?
For a ₹1 lakh company, Delhi's stamp duty is actually slightly lower. For larger capital — roughly ₹5 lakh and above — Uttar Pradesh's fixed slab becomes cheaper than Delhi's percentage-based AoA duty. The difference is small either way; rent and incentives matter more.
Can I register in Noida and open an office in Delhi?
Yes. The registered office is in Noida; a Delhi office is an additional place of business, which needs a Delhi GST registration if you supply from there but no ROC filing.
Which ROC is faster for annual filings?
Neither. All filings are made online on the MCA portal; the ROC only comes into play for scrutiny, notices and approvals.
Does Gurugram fall under ROC Delhi?
Yes — ROC Delhi's jurisdiction covers the NCT of Delhi and Haryana, so Gurugram and Faridabad companies are also under ROC Delhi, but with Haryana stamp duty.
Do Greater Noida and Noida Extension have the same rules as Noida?
Yes. All are in Gautam Buddha Nagar district, Uttar Pradesh — ROC Kanpur, UP stamp duty, UP GST.
