What is a sole proprietorship?
A sole proprietorship is a business owned and run by one person. In law, the business and the owner are the same person: the business uses the owner's PAN, its income is the owner's income, and the owner is responsible for all its debts.
There is no single Act under which a proprietorship is incorporated, and no MCA or ROC filing. A proprietorship is “registered” through a set of registrations in the business name, usually GST, Udyam (MSME) and Shop & Establishment. These give you the documents that banks, customers and marketplaces ask for.
Your personal assets are not protected. If the business cannot pay its debts, the owner's own savings and property can be used to pay them. If you are taking a large loan, signing big contracts or plan to bring in investors, look at a One Person Company or Private Limited Company instead.
Why start as a proprietorship?
Quick to start
No incorporation and no name approval from the MCA. You can start once the registrations you need are in place.
Lowest cost
Udyam and GST registration carry no government fee, and there is no ROC compliance each year.
Full control
You take every decision and keep every rupee of profit. No partners, directors or board meetings.
No ROC filings
No annual return to the MCA. You file your own income tax return, and GST returns once registered.
Privacy
Your accounts are not placed on any public register.
Room to grow
When the business grows, it can be moved into a company or LLP and keep trading.
Which registrations does a proprietorship need?
Not every business needs every registration. We check what you sell, where and to whom, and file only what applies:
- GST registration: compulsory once your turnover crosses the threshold (₹40 lakh for goods and ₹20 lakh for services in Delhi and Uttar Pradesh). Some businesses need it from day one, for example most sellers of goods to other states or through e-commerce marketplaces. Many register earlier because business customers ask for a GSTIN.
- Udyam (MSME) registration: free and online, based on the owner's Aadhaar. It shows your business is an MSME, which helps with bank loans, government tenders and some subsidies.
- Shop & Establishment registration: under the state law, the Delhi Shops and Establishments Act, 1954 or the Uttar Pradesh Dookan Aur Vanijya Adhishthan Adhiniyam, 1962. Whether you must register depends on the state rules and the number of people you employ; we check it for your premises.
- Current account: banks usually ask for two documents that prove the business exists in your name. The GST, Udyam and Shop & Establishment certificates are the ones most often used.
- Other licences, only if your business needs them: an Import Export Code (IEC) if you import or export, FSSAI for food businesses, or a trade licence from the municipal body for some trades. We tell you which apply.

Sole Proprietorship vs One Person Company
| Feature | Sole Proprietorship | One Person Company |
|---|---|---|
| Separate legal entity | No | Yes |
| Owner's liability | Unlimited | Limited to the share capital |
| How it is set up | GST, Udyam and other registrations | Incorporation with the MCA |
| Annual ROC filings | None | AOC-4 and MGT-7A |
| How it is taxed | As the owner's income, at slab rates | At company tax rates |
| Raising investment | Very difficult | Possible after conversion to a Pvt Ltd |
A proprietorship is the cheapest and simplest way for one person to start. If protecting your personal assets matters, a One Person Company gives you limited liability with a single owner. With a partner, see partnership firm or LLP.
Proprietorship — common questions
Is there a single proprietorship registration certificate?
No. Indian law has no separate registration that creates a proprietorship. The business is recognised through registrations in its name, such as GST, Udyam and Shop & Establishment, and these certificates serve as its proof of existence.
Do I need GST registration from the first day?
Only in some cases, for example most sellers of goods to other states or through e-commerce marketplaces. Otherwise it becomes compulsory when turnover crosses the threshold. Many businesses register earlier because their customers want a GSTIN on the invoice. We advise you on a free call.
Can my business have a name different from my own name?
Yes. You can use a trade name in your GST and Udyam registrations and on your invoices. A trade name does not give you an exclusive right to it, so if the brand matters, consider a trademark application.
Can I run a proprietorship from home?
Yes. Your home can be the place of business, with an electricity bill or property tax receipt, and the owner's consent if the house is not in your name.
How is a proprietorship taxed?
The business income is added to the owner's income and taxed at the individual slab rates in the owner's income tax return. Small businesses and professionals can opt for the presumptive taxation scheme where it applies. Our team can tell you which suits you.
Can I convert my proprietorship into a company later?
Yes. The business can be moved into a new Private Limited Company or OPC, with its assets and liabilities transferred to the company. The income tax law allows this without tax on the transfer if certain conditions are met. We advise on the route and handle the incorporation.
