Private Limited Company Registration in Delhi
Delhi founders choose a Private Limited Company for credibility with the capital's corporate, government and institutional clients, for limited liability, and because it is the only structure investors will fund. Consultancies, agencies, technology start-ups, trading houses and export businesses across the city are almost all incorporated this way.
Incorporation is processed online by the MCA's Central Registration Centre, but Delhi has its own particulars: stamp duty on the Articles of Association rises with authorised capital, the Registrar of Companies, Delhi handles every subsequent filing, and address proofs range from DDA flats to MCD-assessed shops and co-working licences. We deal with these every week and usually deliver your Certificate of Incorporation within 7–10 working days.
What is specific to Delhi
- ROC Delhi (NCT of Delhi & Haryana) is your Registrar for all filings after incorporation.
- Delhi stamp duty is capital-linked — the duty on the AoA increases with authorised capital, so we help you choose a sensible initial capital and increase it when funds are actually raised.
- Any Delhi address works as the registered office — DDA or society flat, freehold house, shop or co-working desk — with the owner's NOC and a recent BSES or Tata Power-DDL bill.
- Leasehold DDA property: the conveyance or allotment letter is ownership proof; if the property is in a parent's name, the parent signs the NOC.
- After incorporation you will usually need Delhi GST registration, and Delhi Shops & Establishment registration once you employ staff at a Delhi premises.

Private Limited Company Registration in Delhi — common questions
How much does Pvt Ltd registration cost in Delhi?
Professional fee from ₹999, plus Digital Signatures, MCA government fees and Delhi stamp duty, which depends on authorised capital. We send an itemised written quote; the cost calculator gives an indicative figure for Delhi.
Why is stamp duty higher in Delhi than in Noida for the same company?
Delhi charges duty on the Articles of Association as a percentage of authorised capital, whereas Uttar Pradesh applies a lower fixed amount for small capital. For a ₹1 lakh company the gap is small; for ₹25 lakh or more it becomes noticeable.
Can I register the company at my DDA flat in Dwarka or Rohini?
Yes. A residential address is acceptable as the registered office. You need the allotment or conveyance document, a recent electricity bill and an NOC from the owner.
I want a New Delhi address but my team sits in Gurugram. Any issue?
No legal issue — the registered office and the operating office can differ. Just make sure someone actually receives post at the Delhi address, because ROC and tax notices are served there.
Can NRIs or foreign nationals be directors of a Delhi company?
Yes, provided at least one director is resident in India. Their identity and address documents must be notarised and apostilled abroad; we guide the process.
